Terms of Service.
Aelethion OÜ
Last updated: 30 September 2026
Effective date: 14 September 2026
1. Introduction.
These Terms of Service (“Terms”) govern your access to and use of the Aelethion website and of Athena, our enterprise AI control and evidence product, provided by Aelethion OÜ, a private limited company registered in Estonia (registry code 17529868), with its registered address at Mäealuse tn 2/4, 12618 Tallinn, Estonia (“Aelethion”, “we”, “us”, “our”).
By using our website you agree to these Terms. Use of Athena is additionally governed by the written proposal, Order Form and any Data Processing Agreement agreed between Aelethion and the customer, which prevail over these Terms to the extent of any conflict for that customer.
2. About Aelethion and Athena.
Aelethion provides one product, Athena. Athena has four modules: Data Control governs what AI can see and send; Secure Runtime governs what AI can do, including holding consequential actions for a named person; Sovereign Compliance turns the resulting records into tamper-evident, audit-ready evidence that an authorised reviewer can verify offline; and Algo Assurance keeps algorithmic decisions about people in human hands and keeps the proof. Customers select the modules they need in the Order Form. Athena supplies control technology, evidence and mappings. It does not issue legal opinions, act as an auditor, grant certification, or determine whether an organisation is compliant.
3. Definitions.
“Athena” means the Aelethion product described above, including its modules, verifier and documentation. “Customer” means an organisation that has agreed an Order Form for Athena. “Customer Data” means data a customer processes through Athena. “Evidence” means the tamper-evident sealed records Athena produces. “Website” means aelethion.com and its subpages.
4. Use of the Website and Evaluation Access.
You may use the website for lawful business purposes. Access to Athena begins with a demonstration and a fixed-scope pilot arranged with our team; there is no unattended free trial or self-service sign-up. Any evaluation or preview access may carry additional terms presented to you before access is granted.
5. Plans and Pricing.
Athena is priced per organisation, never per seat, based on verified headcount. The published plans are:
- Up to 25 people: €500 per month.
- Up to 50 people: €990 per month.
- Up to 100 people: €1,900 per month.
- Up to 200 people: €2,900 per month.
- Larger or regulated organisations: Custom.
Adding people within a band does not create additional per-seat charges. Organisations of more than 200 people, and regulated organisations of any size, receive a custom proposal. The standard pilot runs 8 to 12 weeks on one workflow, and the pilot fee is credited towards the first annual subscription. Annual billing is the default, with a monthly option available on the published bands. Scope, responsibilities, commercial terms and acceptance criteria are confirmed in writing before work begins.
6. Payment Terms.
Fees, billing frequency, currency and payment terms are set out in the applicable Order Form. Unless the Order Form states otherwise, fees are exclusive of value added tax and other applicable taxes, which are added where required by law. Invoiced amounts are payable by the date stated on the invoice.
7. Customer Data and Control.
As between the parties, the customer retains ownership of and responsibility for its Customer Data. Depending on the deployment the customer selects (hosted in an EU region, in the customer’s own cloud, on-premise or air-gapped), the Customer Data, signing keys, logs and Evidence can remain within the customer’s own environment. Aelethion does not hold a master key that could create Evidence in the customer’s name. Aelethion processes Customer Data only to provide Athena and support, in accordance with the Order Form and Data Processing Agreement.
8. Intellectual Property.
Aelethion and its licensors own all intellectual property rights in Athena, including its software, verifier, documentation and branding. Aelethion has filed five provisional patent applications relating to its evidence architecture and describes this status as patent-pending. The evidence format is published as an open IETF Internet-Draft. The customer owns its Customer Data and grants Aelethion only the limited rights needed to provide Athena. No rights are granted except as expressly set out in these Terms and the Order Form.
9. Acceptable Use.
You must not misuse the website or Athena. In particular, you must not use them unlawfully; attempt to gain unauthorised access to our systems; interfere with their operation or security; reverse engineer the software except to the extent permitted by law; or use them to infringe the rights of others. We may suspend access where necessary to protect the service, our customers or third parties.
10. Service Availability.
We work to keep Athena and the website available and reliable. Specific availability commitments, if any, are set out in the applicable Order Form. We may carry out maintenance and may change or discontinue non-material features from time to time.
11. Confidentiality.
Each party may receive confidential information of the other. The receiving party will use it only to perform under these Terms and the Order Form, will protect it with reasonable care, and will not disclose it except to those who need to know it and are bound by confidentiality obligations, or where disclosure is required by law.
12. Warranties and Disclaimers.
Athena provides control technology and produces tamper-evident Evidence that an authorised reviewer can verify. “Tamper-evident” means that a change to the signed content of a record is detectable on verification; it does not mean that a record cannot be copied or altered. Athena does not guarantee that any particular reviewer, auditor or regulator will accept any particular Evidence, and it does not determine an organisation’s legal or compliance position. To the maximum extent permitted by law, and except as expressly stated in an Order Form, the website and Athena are provided on an “as is” and “as available” basis without implied warranties.
13. Limitation of Liability.
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profits, revenue or data, arising out of or in connection with these Terms. Each party’s total liability is limited as set out in the applicable Order Form. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
14. Indemnification.
Each party will defend and indemnify the other against third-party claims to the extent set out in the applicable Order Form, subject to prompt notice, reasonable cooperation and the indemnifying party’s control of the defence and settlement.
15. Term and Termination.
These Terms apply while you use the website. A customer’s right to use Athena runs for the term set out in the Order Form. Either party may terminate for material breach that is not cured within a reasonable period. On termination, the customer keeps its sealed Evidence and the keys and trust material it controls, and the offline verifier continues to work without a live subscription, so retained Evidence remains checkable. Data deletion, software removal and any remaining retention obligations are handled as set out in the Order Form.
16. Data Protection.
Our processing of personal data is described in our Privacy Policy. Where we process personal data on a customer’s behalf, we do so as a processor under a Data Processing Agreement.
17. Changes to These Terms.
We may update these Terms from time to time. The “last updated” date above shows when they last changed. Continued use of the website after a change takes effect constitutes acceptance of the updated Terms. Changes to a customer’s commercial terms are made through the Order Form.
18. Governing Law and Dispute Resolution.
These Terms are governed by the laws of Estonia, without regard to conflict-of-law rules. The parties will try to resolve any dispute in good faith. Any dispute that cannot be resolved will be subject to the exclusive jurisdiction of the courts of Estonia, unless the applicable Order Form provides otherwise.
19. General Provisions.
If any provision of these Terms is held to be unenforceable, the remaining provisions continue in effect. A failure to enforce a provision is not a waiver of it. These Terms, together with the applicable Order Form and Data Processing Agreement, are the entire agreement between the parties on their subject matter. Neither party may assign these Terms without the other’s consent, except to an affiliate or in connection with a merger or sale of the business.
